Marvel: because they created Spider-Man, and because they naturally want to bring back home the charismatic wall-crawler.
A possible collaboration between Marvel and Sony was rumored not long ago. And speculations did prove to be right: Spider-Man is under debate. The recent "Sony hack" definitely didn't do much good for the company, but it did fuel the buzz around the Spidey issue. Messages to and from Amy Pascal, one of the bigwigs of Sony, revealed crucial details about the said deal.

The Wall Street Journal revealed bits and pieces of the contents of the emails. One of them references Marvel's intention of slotting Spider-Man in Captain America: Civil War, due for release in 2016. Okay, no stance of Sony is implied here, just the fact Marvel envisages a crossover. But let's get into details.
The scandal apparently brought the talks to a standstill. However, The Wall Street Journal states "among projects in development are an animated Spider-Man comedy that would be produced by Chris Miller and Phil Lord, ["¦] as well as previously disclosed Spider-Man spin-offs focused on villain team Sinister Six, super-foe Venom, and women from the webslinger's life". These details are on the agenda for the Spidey summit programed for January.
